Binding Legal Agreement

These Terms and Conditions constitute a legally binding agreement between you and DesignLab governing your access to and use of our website, services, and educational programs. By accessing our website or utilizing our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety.

If you do not agree with any provision of these Terms and Conditions, you must immediately cease using our services. These Terms and Conditions supplement and work in conjunction with our Terms of Service, Privacy Policy, and Cookie Policy. In the event of any conflict between these documents, these Terms and Conditions shall prevail regarding the specific matters addressed herein.

User Obligations and Conduct Requirements

Legal Responsibilities

Maintain the confidentiality of your account credentials and take reasonable measures to prevent unauthorized access. You are solely responsible for all activities that occur under your account, whether or not authorized by you.

4. Respectful Conduct

Maintain respectful and professional behavior when interacting with instructors, staff, and other students. Harassment, discrimination, or any form of abusive conduct will not be tolerated.

5. Intellectual Property Respect

Respect the intellectual property rights of DesignLab, instructors, and other users. Do not copy, reproduce, distribute, or create derivative works from protected materials without explicit authorization.

Prohibited Activities and Behaviors

Users are expressly prohibited from engaging in the following activities:

Unauthorized Access

Attempting to gain unauthorized access to any part of our systems, other user accounts, or networks

System Interference

Interfering with or disrupting the operation of our services, servers, or networks

Malicious Software

Transmitting viruses, malware, or any other malicious code through our services

Content Piracy

Recording, distributing, or sharing course materials without explicit authorization

Impersonation

Impersonating any person or entity, or falsely stating your affiliation with any organization

Automated Access

Using bots, scrapers, or automated systems to access services without permission

Age Requirements

Our services are intended for individuals who are at least 16 years of age. By using our services, you represent and warrant that you meet this age requirement. If you are between 16 and 18 years old, you must have parental or guardian consent to use our services. We reserve the right to request proof of age or consent at any time.

Indemnification

You agree to indemnify, defend, and hold harmless DesignLab, its officers, directors, employees, instructors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms and Conditions, or your infringement of any intellectual property or other rights of any third party.

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, DESIGNLAB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability and fitness for a particular purpose
  • Warranties regarding the accuracy, reliability, or completeness of content
  • Warranties that our services will be uninterrupted, secure, or error-free
  • Warranties regarding specific career outcomes or employment prospects

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DESIGNLAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your access to or use of (or inability to access or use) our services
  • Any conduct or content of third parties on our services
  • Unauthorized access, use, or alteration of your content or data
  • Any other matter relating to our services

Our total liability for any claims under these Terms and Conditions shall not exceed the amount you paid to us for the services in question during the twelve months preceding the claim.

Educational Outcomes Disclaimer

While we strive to provide high-quality education, we make no guarantees regarding specific learning outcomes, skill acquisition, career advancement, or employment opportunities. Individual results vary based on factors including prior experience, dedication, practice, and market conditions beyond our control. Course completion does not guarantee specific career placements or salary levels.

Third-Party Content and Links

Our services may contain links to third-party websites or resources. We provide these links for convenience only and do not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party sites. You acknowledge and agree that DesignLab shall not be liable for any damage or loss caused by or in connection with your use of any third-party content or services.

Consequential Damages Exclusion

In no event shall DesignLab be liable for any business interruption, loss of profits, loss of business opportunities, loss of data, or any consequential, indirect, incidental, or punitive damages whatsoever arising out of or relating to your use or inability to use our services, even if we have been advised of the possibility of such damages.

Force Majeure

DesignLab shall not be liable for any failure or delay in performing its obligations under these Terms and Conditions where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Legal Information and Dispute Resolution

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms and Conditions shall be brought exclusively in the courts of Helsinki, Finland, and you hereby consent to the personal jurisdiction and venue of such courts.

EU Users: If you are a consumer residing in the European Union, you retain the right to bring legal proceedings in your country of residence.

Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions, the parties agree to follow this resolution process:

Informal Negotiation

First, contact us directly to attempt to resolve the matter informally. We commit to responding within 7 business days and working in good faith toward a resolution.

Mediation

If informal negotiation does not resolve the dispute within 30 days, either party may request mediation through a mutually agreed upon mediator or mediation service in Helsinki.

Legal Action

Only after exhausting the above steps may either party pursue legal action in accordance with the governing law provisions stated above.

Severability Clause

If any provision of these Terms and Conditions is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms and Conditions shall otherwise remain in full force and effect. The invalidity of any provision shall not affect the validity or enforceability of any other provision.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and Terms of Service, constitute the entire agreement between you and DesignLab regarding the use of our services and supersede any prior agreements, whether written or oral, relating to the same subject matter.

Waiver

No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms and Conditions or your rights hereunder, in whole or in part, without our prior written consent. We may assign or transfer these Terms and Conditions at our sole discretion without restriction. Any attempted assignment in violation of this provision shall be null and void.

Modifications to These Terms

We reserve the right to modify or replace these Terms and Conditions at any time at our sole discretion. If we make material changes, we will provide notice by posting the updated Terms and Conditions on this page with a revised effective date and, where appropriate, by sending notification through email or other reasonable means.

Your continued use of our services following the posting of any changes to these Terms and Conditions constitutes acceptance of those changes.
